Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Capconvert, Inc. (“Capconvert,” “we,” “us,” or “our”) governing your access to and use of capconvert.com and any services we provide.

By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, you must discontinue use of our website and services immediately.

Services

Capconvert provides digital marketing services including, but not limited to:

• Search Engine Optimization (SEO)
• Generative Engine Optimization (GEO)
• Google Ads management
• Amazon Ads management

The specific scope, deliverables, and terms of each engagement are defined in a separate service agreement or statement of work between Capconvert and the client. These Terms govern the general use of our website and the overarching relationship between Capconvert and its users and clients.

Engagement & Cancellation

All Capconvert service engagements are provided on a month-to-month basis. There are no minimum term commitments. You may cancel your engagement at any time.

Upon cancellation, services will continue through the end of the current billing period. No refunds will be issued for the current billing cycle. Access to any Capconvert-managed accounts, dashboards, or deliverables will be transitioned in accordance with the terms of your service agreement.

Billing & Payment

Clients are billed upfront on a monthly basis. Payment is due at the beginning of each billing cycle before services are rendered for that period.

If payment is not received within 7 days of the billing date, Capconvert reserves the right to suspend services until payment is received. All fees are non-refundable unless otherwise specified in your service agreement.

Capconvert reserves the right to adjust pricing with 30 days’ written notice. Continued use of services after a price adjustment constitutes acceptance of the new rate.

Intellectual Property

All content on capconvert.com — including text, graphics, logos, images, blog posts, and software — is the property of Capconvert, Inc. and is protected by United States and international copyright, trademark, and intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from our website without our prior written consent.

Work product created specifically for a client as part of a paid engagement (such as ad copy, SEO recommendations, or campaign structures) becomes the client’s property upon full payment, unless otherwise stated in the service agreement.

Website Use

You agree to use capconvert.com only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else’s use of the website. Prohibited conduct includes, but is not limited to:

• Attempting to gain unauthorized access to any part of the website or its systems
• Using automated tools to scrape, crawl, or extract content beyond what is permitted by our robots.txt file
• Transmitting any material that is defamatory, offensive, or otherwise objectionable
• Interfering with the proper functioning of the website

Third-Party Links & Tools

Our website may contain links to third-party websites, tools, or services that are not owned or controlled by Capconvert. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

Your use of third-party platforms in connection with our services (including Google Ads, Amazon Advertising, Google Analytics, and Google Tag Manager) is subject to those platforms’ respective terms of service and privacy policies.

Disclaimers

Capconvert’s services are provided on an “as is” and “as available” basis. While we strive to deliver measurable improvements in search visibility, ad performance, and AI channel presence, we do not guarantee specific results, rankings, traffic levels, or revenue outcomes.

Search engine algorithms, AI models, and advertising platforms are controlled by third parties and are subject to change without notice. Capconvert is not responsible for fluctuations in performance caused by algorithm updates, policy changes, or other factors outside our control.

Limitation of Liability

To the fullest extent permitted by applicable law, Capconvert, Inc., its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, business opportunities, or goodwill — arising out of or in connection with your use of our website or services.

In no event shall Capconvert’s total liability exceed the amount paid by you to Capconvert in the three (3) months preceding the event giving rise to the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Capconvert, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable attorneys’ fees — arising out of or in any way connected with your access to or use of our website, your violation of these Terms, or your violation of any rights of a third party.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or your use of our website or services shall be resolved exclusively in the state or federal courts located in San Francisco County, California. You consent to the personal jurisdiction of such courts.

Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the “Effective” date at the top of this page. For material changes, we will provide reasonable notice, such as a prominent announcement on capconvert.com or an email notification to active clients.

Continued use of our website or services after changes take effect constitutes acceptance of the revised Terms.
